Replacement Transmitter Loan Authorization

Due to the expressed need to replace our ageing transmitter, the Radio Malaspina Society’s Board of Directors seeks the approval of its members to seek a loan of up to $25,000 to replace its transmitter. The transmitter is integral to the operations of CHLY-FM, and if the current transmitter failed, the station would be off the air for an indefinite period of time, putting our broadcast license at risk.

The strong recommendation to replace our transmitter comes from Volunteer Technical Director Kam Abbot who has kept the station on the air since our inception.

Section 9.3.2 of the Radio Malaspina Society’s bylaws require the approval of the membership to borrow funds in excess of $10,000 in a fiscal year.

The proposed special resolution would:

Give sanction by the members, for the Radio Malaspina Society’s Board of Directors to sign off on a loan of up to $25,000 so that the society can have the required cash on hand to purchase a replacement transmitter for CHLY-FM.

Membership and eligibility to vote

You must be a current voting member to be eligible to vote at the SGM. New members signed up after July 20, 2021, will not be eligible to vote as they are not yet voting members.

Your membership may be expired so please renew: Membership runs from May 1st through April 30th of every year. If you were a member for at least 6 months of the last 12 months, but your membership has expired, you can renew your membership at chly.ca/membership and be eligible to vote at this meeting. It is recommended that you set this membership payment up as an automatic annual donation.

Those on month-to-month sustaining donor plans do not need to renew their membership as their monthly donation pays their membership.

Students enrolled for the fall at the Nanaimo campus of Vancouver Island University are Student Members, and are not required to pay for a membership.

6:30 PM—Member sign in.

7:00 PM—Meeting commences

(Quorum is 16 members of the Radio Malaspina Society)

7:05 PM—Appointment of a chairperson.

7:10 PM—Preamble on the special resolution, and why a replacement of our transmitter is necessary.

7:20 PM—Vote on special resolution (requires a supermajority 75% vote).

7:30 PM—Adjournment.

1. CHLY-FM (operated by the Radio Malaspina Society), must replace its transmitter lest it face transmitter failure and the consequences of a transmitter failure;

2. The Radio Malaspina Society’s bylaws require the approval of the membership to borrow funds in excess of $10,000 in a fiscal year.
