An update on our SGM 2022

Voting Members in attendance vote in the affirmative to update bylaws allowing for November AGM.

16 Voting Members were in attendance, with 13 voting in favour and 2 voting against the special resolution to change the bylaws noted below. With 87% voting in favour, the special resolution passed.

Special Resolutions Vote.

WHEREAS:
Our bylaw for when the Society’s AGM shall be held is inflexible.

THEREFORE:
Be it resolved that bylaw 4.2.1 be changed from:
"The Annual General Meeting of the society shall be held once per year in October, or as required by the Society Act of BC."

to:

"The Annual General Meeting of the society shall be held once per calendar year in the Vancouver Island University fall semester, or as required by the Society Act of BC.”’

AND

Be it further resolved that bylaw 5.4.1 be changed from:

“The term of the office for the Board of Directors is for two years (October to October)”

to:

“An elected director's term expires at the close of the second AGM following the director's election to the board of directors, resulting in a two year term of office. An appointed director's term expires at the close of the next AGM following the director's appointment, as per 5.8.2.”.

This bylaw change has been filed with the Registrar of Societies, and our bylaw page has been updated accordingly.
